1. Scope of Services
Magnova Digital Solutions Private Limited may provide website and web application development, custom software, mobile and progressive web solutions, artificial intelligence and AI-agent solutions, automation, CRM/ERP, cloud and DevOps, API integrations, data and analytics, cybersecurity-related technology services, UI/UX design, digital transformation, maintenance, technical support, consulting, and other agreed IT services. The precise scope, features, deliverables, schedule, price, and responsibilities may be defined in an accepted quotation, proposal, Statement of Work (SOW), work order, project agreement, invoice, or other written communication.
2. Quotations & Proposals
Quotations and proposals are based on the requirements available when prepared. Unless expressly stated, they do not automatically include additional modules, integrations, licences, premium APIs, third-party subscriptions, infrastructure, hosting, domain registration, regulatory certification, legal documentation, or features outside the approved scope. Magnova may revise a quotation when requirements materially change.
3. Project Confirmation
A project may be considered confirmed after written approval of the quotation or proposal, acceptance of the scope, execution of required agreements, and receipt of the agreed advance. Development schedules may commence after required information, content, credentials, approvals, and initial payment are received.
4. Payment Terms
Payments shall follow the milestones or schedule stated in the applicable quotation, proposal, invoice, or agreement. Magnova may require an advance before commencing work. Subsequent payments may be linked to design approval, development, testing, deployment, or handover. Subject to the applicable agreement and law, overdue payments may result in a pause of development, deployment, support, or handover.
5. Taxes
Prices shall be treated according to the applicable quotation or invoice. GST and other applicable statutory taxes, duties, or charges shall be added wherever required by law.
6. Client Responsibilities
The Client shall provide accurate and timely requirements, content, brand assets, access credentials, API details, feedback, approvals, permissions, and authorized data. The Client represents that it has appropriate rights to materials supplied. Magnova is not responsible for delays primarily caused by missing information, approvals, access, feedback, or payments.
7. Project Timeline
Project timelines are reasonable estimates based on the approved scope. Delivery may change due to client modifications, delayed approvals, third-party service delays, API changes, infrastructure issues, newly discovered technical complexity, force majeure, or other circumstances outside Magnova's reasonable control.
8. Change Requests
Requirements outside the approved scope may be treated as Change Requests. Magnova may issue a separate estimate covering additional charges, resources, third-party costs, milestones, and revised delivery dates. Material change work may begin after Client approval.
9. Revisions
The number and scope of revisions are governed by the applicable quotation or project agreement. Repeated redesigns, changes to previously approved work, or substantial alterations to agreed requirements may be treated as additional work.
10. Third-Party Services
Projects may rely on cloud providers, hosting companies, registrars, payment gateways, SMS/email providers, AI APIs, social platforms, mapping services, authentication providers, databases, analytics platforms, libraries, plugins, and other external services. These remain subject to their own terms, prices, policies, availability, and licences. Magnova cannot guarantee that an independent third-party service will remain available or unchanged.
11. Third-Party Charges
Unless expressly included, hosting, domains, cloud infrastructure, API consumption, AI usage, SMS/OTP, payment-gateway fees, email services, software licences, premium plugins, SSL products, external databases, app-store fees, and similar third-party expenses may be payable separately by the Client.
12. Artificial Intelligence Services
AI, machine-learning, generative-AI, large-language-model, and automated decision-support outputs may not always be complete or accurate. Appropriate human verification should be used before material decisions. AI functionality is not a substitute for licensed legal, medical, financial, accounting, taxation, regulatory, or other professional advice.
13. Intellectual Property
Unless otherwise agreed in writing, Magnova retains its pre-existing intellectual property, frameworks, libraries, methodologies, templates, reusable components, internal utilities, know-how, and proprietary tools. Ownership or licence rights for custom deliverables shall be determined by the applicable quotation, licence, SOW, proposal, or project agreement. Third-party components remain subject to their respective licences.
14. Client Content
The Client retains rights in its trademarks, logos, content, and business information and grants Magnova permission reasonably necessary to perform the contracted services. The Client is responsible for ensuring supplied materials do not unlawfully infringe third-party intellectual-property, privacy, or other rights.
15. Confidentiality
Each party should reasonably protect confidential business, technical, financial, and project information received from the other. Where a separate Non-Disclosure Agreement (NDA) exists, that agreement shall govern confidentiality to the extent applicable.
16. Data Protection & Privacy
Magnova will process personal data in accordance with applicable contractual obligations and data-protection requirements. Project-specific data-processing responsibilities, retention, security controls, and privacy arrangements may be separately agreed. The Client remains responsible for ensuring that personal information supplied for processing has been lawfully collected and shared.
17. Credentials & Access
Clients must safeguard usernames, passwords, API keys, administrative credentials, authentication tokens, and other security information. After handover, the Client is responsible for accounts and systems under its control unless Magnova has separately contracted to manage them.
18. Cybersecurity
Magnova will use reasonable development and security practices appropriate to the agreed scope. No digital system can be guaranteed completely immune from vulnerabilities, attacks, outages, malware, unauthorized access, or emerging threats. Monitoring, backups, penetration testing, vulnerability assessments, and managed security are included only when expressly agreed.
19. Testing & Acceptance
Magnova may perform reasonable functional testing before handover. The Client shall review delivered systems during the agreed testing or acceptance period and report material defects with sufficient information. New requirements, third-party changes, unsupported environments, client modifications, or features outside scope may not constitute defects in the original deliverable.
20. Deployment & Handover
Deployment or handover may occur after completion of the applicable stage, Client approval, and settlement of payments required under the applicable agreement. Handover may include source code, deployment packages, administrative access, documentation, or credentials depending on the purchased service and agreement.
21. Maintenance & Support
Development charges do not automatically include unlimited lifetime support. Server maintenance, monitoring, upgrades, content updates, new features, API migration, third-party compatibility work, database administration, backups, technical support, and performance optimization may require a separate AMC, support package, or quotation unless expressly included.
22. Warranty / Defect Correction
Where an agreement provides a post-launch defect-support period, Magnova will address qualifying defects according to that agreement. Such support does not automatically cover new features, Client-side changes, third-party failures, external API changes, infrastructure failures, malware, unauthorized modifications, or changes to the original requirements.
23. Cancellation & Termination
Cancellation and termination shall be governed by the applicable quotation or project agreement. Magnova may suspend or terminate services where reasonably necessary because of material non-payment, unlawful use, serious contractual breach, abuse, security threats, or other circumstances permitted by law or contract. Where practicable, notice and an opportunity to remedy a remediable breach may be provided.
24. Refunds
Payments for work already performed, allocated resources, completed milestones, purchased third-party services, licences, registrations, infrastructure, or other non-recoverable expenses may be non-refundable to the extent permitted by law and the applicable agreement. Refund eligibility depends on the relevant contract, cancellation terms, and circumstances.
25. Prohibited Use
Magnova services shall not knowingly be used for fraud, unauthorized access, malicious cyber activity, unlawful surveillance, intellectual-property infringement, deceptive practices, distribution of unlawful content, or other activities prohibited by law. Magnova may refuse or suspend services where continuing the engagement would violate law or legitimate security requirements.
26. Limitation of Liability
To the extent permitted by applicable law and subject to separately agreed contractual provisions, Magnova shall not be responsible for indirect, incidental, special, or consequential losses caused by matters outside its reasonable control. Nothing in these Terms excludes or restricts liability that cannot lawfully be excluded or restricted. Project-specific liability limits should be defined in the applicable service agreement.
27. Force Majeure
Neither party shall be responsible for affected failure or delay caused by circumstances beyond its reasonable control, subject to applicable law. Examples include natural disasters, governmental actions, widespread telecommunications failures, major cloud-provider outages, war, civil disturbances, epidemics, and comparable events.
28. Non-Solicitation
Where separately agreed, the Client and Magnova may agree not to directly solicit designated employees, contractors, or project personnel of the other party during the engagement and for a reasonable agreed period thereafter, subject to applicable law.
29. Independent Relationship
Unless expressly agreed otherwise, Magnova operates as an independent service provider. These Terms do not by themselves create an employment relationship, partnership, joint venture, franchise, or agency.
30. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of India, subject to different provisions in an applicable signed agreement. The parties should first attempt to resolve disputes through good-faith discussion and written communication. Jurisdiction, arbitration, venue, or other formal dispute-resolution mechanisms should be determined by the applicable agreement and law.
31. Electronic Communication
Project communications, approvals, invoices, notices, and documents may be exchanged electronically through authorized email addresses, project-management systems, or other agreed digital channels, subject to applicable legal requirements.
32. Updates to Terms
Magnova may revise website-facing Terms periodically to reflect changes in services, technologies, policies, or applicable laws. Changes affecting an existing contracted project remain subject to the applicable signed agreement and contractual requirements.
33. Entire Agreement & Order of Precedence
These Terms form part of Magnova's general service conditions. Where they conflict with a duly executed project-specific agreement, SOW, NDA, or other written contract, the project-specific document shall take precedence to the extent of the conflict.
34. Severability
If a competent authority determines any provision to be invalid or unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.
35. No Waiver
Failure by either party to immediately enforce a contractual right does not automatically constitute a permanent waiver of that right.
